PropOS is a back-office productivity platform for licensed real estate agents, operated by Soulives LLC, based in New York. When you use PropOS, you are entering into an agreement with Soulives LLC.
We do not sell your personal data. We do not use your data for advertising. We do not share your deal or client data with any third party except as required to operate the service (Stripe for billing, Resend for email delivery).
We retain your data for as long as your account is active. If you request account deletion, we will delete all your personal data and deal records within 30 days of your request. Billing records may be retained for up to 7 years as required by law.
All data is transmitted over HTTPS (TLS). Your data is stored in an encrypted database with per-user isolation — no other PropOS user can see your deals or client data. Sessions are secured with HMAC-signed cookies and expire after 8 hours of inactivity.
PropOS is a professional tool intended for licensed real estate agents. We do not knowingly collect data from anyone under 18 years of age.
By creating a PropOS account, you agree to these Terms of Service. These terms constitute a binding agreement between you and Soulives LLC.
PropOS is a productivity software platform that assists licensed real estate professionals in generating documents, tracking transactions, and managing their back-office workflow. PropOS is a tool — it does not perform licensed real estate activities, provide legal advice, or act as a broker, agent, or fiduciary on your behalf.
Important: All documents generated by PropOS — including offer emails, sales agreements, and deal sheets — must be reviewed and approved by the licensed agent before use. You are responsible for the accuracy and legal compliance of all documents you send.
You agree to use PropOS only for lawful purposes and only in connection with your licensed real estate activities. You agree not to:
PropOS and all its underlying software, designs, and content are the exclusive property of Soulives LLC. You are granted a limited, non-transferable license to use PropOS during your active subscription. No ownership rights are transferred.
Soulives LLC provides PropOS "as is" without warranties of any kind. To the fullest extent permitted by law, Soulives LLC shall not be liable for any indirect, incidental, or consequential damages arising from your use of PropOS, including but not limited to errors in generated documents, lost data, or business losses.
Your sole remedy for dissatisfaction with PropOS is to cancel your subscription.
These Terms are governed by the laws of the State of New York, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of New York State.
We may update these Terms from time to time. We will notify you by email at least 14 days before any material changes take effect. Continued use of PropOS after that date constitutes acceptance of the updated Terms.
If you are located in the European Union or European Economic Area, the General Data Protection Regulation (GDPR) applies to how we handle your personal data.
As an EU/EEA resident, you have the following rights:
PropOS servers are hosted in the EU (Hetzner, Falkenstein, Germany). Your data does not leave the EU except when processed by Stripe (US, covered by Standard Contractual Clauses) and Resend (US, covered by Standard Contractual Clauses) for billing and email delivery respectively.

PropOS is designed exclusively for use by licensed real estate professionals in accordance with Article 12-A of the New York State Real Property Law and the regulations of the New York State Department of State (NYS DOS), Division of Licensing Services.
PropOS does not perform, and is not licensed to perform, any act requiring a real estate license under NYS law. PropOS does not negotiate, list, sell, exchange, or lease real property on behalf of any party. PropOS does not provide legal, brokerage, or fiduciary advice of any kind.
By using PropOS, you confirm that:
Offer emails, sales agreement templates, deal sheets, and other documents generated by PropOS are provided as drafts and starting points only. They do not constitute legal advice. For legally binding contracts and disclosures, consult a licensed New York real estate attorney.
Effective March 20, 2024, New York State updated the Property Condition Disclosure Statement (PCDS) to a 7-page, 56-question form. PropOS references the PCDS in transaction workflows but does not reproduce or replace the official PCDS form. Agents must obtain and use the current official PCDS form from their brokerage, LIBOR, or Instanet.
Wire Fraud is Real. PropOS includes wire fraud warnings in its transaction pipeline as a reminder. Before wiring any funds, always call the intended recipient at a verified phone number to confirm wire instructions. PropOS, Soulives LLC, and its operators are not responsible for any losses resulting from wire fraud. Agents are responsible for communicating wire fraud risks to their clients.
Following the NAR Settlement effective August 8, 2024, and OneKey MLS policy updates, buyer agent compensation must not be referenced in MLS fields. PropOS deal documents that reference compensation do so for the agent's internal records only and are not intended for MLS submission. Agents are responsible for compliance with all current NAR, OneKey MLS, and LIBOR compensation disclosure rules.
PropOS and Soulives LLC are independent of, and not affiliated with, endorsed by, or a participant in the Long Island Board of REALTORS® (LIBOR), OneKey® MLS, the National Association of REALTORS® (NAR), or the New York State Association of REALTORS® (NYSAR).
PropOS does not access, display, redistribute, or derive data from the OneKey® MLS database. PropOS is not an IDX participant. PropOS does not use or display any listing data from OneKey® MLS. All property information within PropOS is entered manually by the licensed agent.
PropOS is designed to support agents in complying with OneKey® MLS Rules and Procedures (Version 2025A). Specifically:

Agents using PropOS are solely responsible for ensuring their use of PropOS-generated documents complies with all current OneKey® MLS Rules and Procedures, LIBOR membership requirements, NAR Code of Ethics, and NYS DOS regulations. The current OneKey® Rules and Procedures Manual is available through Stratus under the Info Center.
