1. Privacy Policy

Who we are

PropOS is a back-office productivity platform for licensed real estate agents, operated by Soulives LLC, based in New York. When you use PropOS, you are entering into an agreement with Soulives LLC.

What data we collect

Account data: Your name, email address, and profile picture — collected via Google OAuth when you sign in. We do not store your Google password.
Deal and transaction data: Property addresses, buyer and seller names, offer prices, attorney and lender contact details, and transaction stage information that you enter into the app.
Billing data: Your subscription status, trial end date, and Stripe customer ID. We do not store your full credit card number — Stripe handles all payment data directly.
Usage data: Basic server logs (IP address, request paths, timestamps) for security and debugging purposes. These are not shared with third parties and are not used for advertising.

How we use your data

To provide PropOS — generate your offer emails, deal sheets, transaction pipelines, and reports
To manage your subscription and send billing-related emails
To send you product updates and trial/renewal reminders (you can unsubscribe from non-billing emails)
To debug and improve the platform

We do not sell your personal data. We do not use your data for advertising. We do not share your deal or client data with any third party except as required to operate the service (Stripe for billing, Resend for email delivery).

Third-party processors

Google OAuth: Handles authentication. We receive your name, email, and profile picture only.
Stripe: Processes subscription payments. Subject to Stripe's own Privacy Policy.
Resend: Delivers transactional emails (confirmations, reminders). Subject to Resend's Privacy Policy.
Hetzner Cloud: Hosts the PropOS server and database in a secure data center.

Data retention

We retain your data for as long as your account is active. If you request account deletion, we will delete all your personal data and deal records within 30 days of your request. Billing records may be retained for up to 7 years as required by law.

Data security

All data is transmitted over HTTPS (TLS). Your data is stored in an encrypted database with per-user isolation — no other PropOS user can see your deals or client data. Sessions are secured with HMAC-signed cookies and expire after 8 hours of inactivity.

Children's privacy

PropOS is a professional tool intended for licensed real estate agents. We do not knowingly collect data from anyone under 18 years of age.

2. Terms of Service

Acceptance

By creating a PropOS account, you agree to these Terms of Service. These terms constitute a binding agreement between you and Soulives LLC.

What PropOS is

PropOS is a productivity software platform that assists licensed real estate professionals in generating documents, tracking transactions, and managing their back-office workflow. PropOS is a tool — it does not perform licensed real estate activities, provide legal advice, or act as a broker, agent, or fiduciary on your behalf.

Important: All documents generated by PropOS — including offer emails, sales agreements, and deal sheets — must be reviewed and approved by the licensed agent before use. You are responsible for the accuracy and legal compliance of all documents you send.

Subscription and billing

Free trial: New accounts receive a free trial period (3 months standard; 6 months with a qualifying referral code). Your credit card will not be charged until the trial period ends.
Pricing: After the trial, PropOS is $15/month. Early access pricing may be subject to change at launch — users who sign up during early access are entitled to the pricing displayed at the time of their signup.
Billing: Subscriptions are billed monthly through Stripe. You will receive an email reminder 3 days before each renewal and 2 days before your trial ends.
Cancellation: You may cancel at any time through your account settings. Access continues until the end of your current billing period. No refunds are issued for partial months.
Failed payments: If a payment fails, we will notify you by email and provide a grace period to update your payment method before access is suspended.

Acceptable use

You agree to use PropOS only for lawful purposes and only in connection with your licensed real estate activities. You agree not to:

Share your account credentials with unlicensed individuals
Use PropOS to generate documents for transactions in which you are not the licensed agent of record
Attempt to reverse-engineer, copy, or redistribute PropOS software
Upload any data that violates a third party's privacy rights

Intellectual property

PropOS and all its underlying software, designs, and content are the exclusive property of Soulives LLC. You are granted a limited, non-transferable license to use PropOS during your active subscription. No ownership rights are transferred.

Limitation of liability

Soulives LLC provides PropOS "as is" without warranties of any kind. To the fullest extent permitted by law, Soulives LLC shall not be liable for any indirect, incidental, or consequential damages arising from your use of PropOS, including but not limited to errors in generated documents, lost data, or business losses.

Your sole remedy for dissatisfaction with PropOS is to cancel your subscription.

Governing law

These Terms are governed by the laws of the State of New York, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of New York State.

Changes to these terms

We may update these Terms from time to time. We will notify you by email at least 14 days before any material changes take effect. Continued use of PropOS after that date constitutes acceptance of the updated Terms.

3. GDPR Compliance

If you are located in the European Union or European Economic Area, the General Data Protection Regulation (GDPR) applies to how we handle your personal data.

Legal basis for processing

Contract performance: We process your name, email, and deal data to provide the PropOS service you subscribed to.
Legitimate interests: We process basic usage logs for security and platform stability.
Legal obligation: We retain billing records as required by applicable financial regulations.

Your rights under GDPR

As an EU/EEA resident, you have the following rights:

Right to access: Request a copy of all personal data we hold about you.
Right to rectification: Request correction of inaccurate personal data.
Right to erasure ("right to be forgotten"): Request deletion of all your personal data. We will complete deletion within 30 days.
Right to data portability: Request your data in a machine-readable format (CSV export available in your account settings).
Right to restrict processing: Request that we limit how we use your data while a complaint is under review.
Right to object: Object to processing based on legitimate interests.
Right to lodge a complaint: You may lodge a complaint with your local data protection authority.

Data transfers

PropOS servers are hosted in the EU (Hetzner, Falkenstein, Germany). Your data does not leave the EU except when processed by Stripe (US, covered by Standard Contractual Clauses) and Resend (US, covered by Standard Contractual Clauses) for billing and email delivery respectively.

4. CCPA Compliance

If you are a California resident, the California Consumer Privacy Act (CCPA) and the California Privacy Rights Act (CPRA) give you specific rights regarding your personal information.

Categories of personal information we collect

Identifiers: Name, email address, IP address
Professional information: Real estate license number, brokerage name (if entered in settings)
Commercial information: Subscription status, billing history
Internet activity: Basic server logs

We do not sell your personal information

PropOS does not sell, rent, or share your personal information with third parties for their own marketing or commercial purposes. You do not need to opt out — we do not sell data.

Your California rights

Right to know: Request disclosure of the personal information we have collected about you in the past 12 months.
Right to delete: Request deletion of your personal information, subject to certain exceptions.
Right to correct: Request correction of inaccurate personal information.
Right to opt out of sale/sharing: Not applicable — we do not sell or share personal information.
Right to non-discrimination: We will not discriminate against you for exercising any of these rights.

5. NYS Real Estate Law Compliance

PropOS is a productivity tool — not a licensed service

PropOS is designed exclusively for use by licensed real estate professionals in accordance with Article 12-A of the New York State Real Property Law and the regulations of the New York State Department of State (NYS DOS), Division of Licensing Services.

PropOS does not perform, and is not licensed to perform, any act requiring a real estate license under NYS law. PropOS does not negotiate, list, sell, exchange, or lease real property on behalf of any party. PropOS does not provide legal, brokerage, or fiduciary advice of any kind.

User responsibility

By using PropOS, you confirm that:

You hold a valid, active New York State real estate salesperson or broker license issued by the NYS DOS
You are using PropOS solely to support your own licensed real estate activities
You review and approve all documents generated by PropOS before sending them to any party
You are solely responsible for the accuracy, completeness, and legal compliance of all communications and documents you create using PropOS
You will not use PropOS to perform any act that requires a real estate license on behalf of an unlicensed party

Document disclaimer

Offer emails, sales agreement templates, deal sheets, and other documents generated by PropOS are provided as drafts and starting points only. They do not constitute legal advice. For legally binding contracts and disclosures, consult a licensed New York real estate attorney.

Property Condition Disclosure Act (March 2024)

Effective March 20, 2024, New York State updated the Property Condition Disclosure Statement (PCDS) to a 7-page, 56-question form. PropOS references the PCDS in transaction workflows but does not reproduce or replace the official PCDS form. Agents must obtain and use the current official PCDS form from their brokerage, LIBOR, or Instanet.

Wire fraud warning

Wire Fraud is Real. PropOS includes wire fraud warnings in its transaction pipeline as a reminder. Before wiring any funds, always call the intended recipient at a verified phone number to confirm wire instructions. PropOS, Soulives LLC, and its operators are not responsible for any losses resulting from wire fraud. Agents are responsible for communicating wire fraud risks to their clients.

Commission and compensation

Following the NAR Settlement effective August 8, 2024, and OneKey MLS policy updates, buyer agent compensation must not be referenced in MLS fields. PropOS deal documents that reference compensation do so for the agent's internal records only and are not intended for MLS submission. Agents are responsible for compliance with all current NAR, OneKey MLS, and LIBOR compensation disclosure rules.

6. LIBOR / OneKey MLS Compliance

Independence disclosure

PropOS and Soulives LLC are independent of, and not affiliated with, endorsed by, or a participant in the Long Island Board of REALTORS® (LIBOR), OneKey® MLS, the National Association of REALTORS® (NAR), or the New York State Association of REALTORS® (NYSAR).

No MLS data access

PropOS does not access, display, redistribute, or derive data from the OneKey® MLS database. PropOS is not an IDX participant. PropOS does not use or display any listing data from OneKey® MLS. All property information within PropOS is entered manually by the licensed agent.

OneKey MLS Rules compliance

PropOS is designed to support agents in complying with OneKey® MLS Rules and Procedures (Version 2025A). Specifically:

Compensation: In alignment with NAR Settlement policy effective August 8, 2024, PropOS offer documents do not include buyer agent compensation in MLS-facing fields. Compensation fields are for the agent's internal use only.
Photos after closing: PropOS does not display or store MLS listing photos. OneKey® MLS Rule #712 (limiting post-closing photo display) does not apply to PropOS.
Offer presentations: PropOS-generated offer emails are tools to assist the agent. Compliance with OneKey® MLS rules regarding offer presentation and cooperation remains the responsibility of the licensed agent.

REALTOR® trademark

"REALTOR®" is a registered trademark of the National Association of REALTORS®. PropOS uses this term descriptively only. Soulives LLC is not a member of NAR and has no affiliation with the REALTOR® membership mark.

Agent responsibility

Agents using PropOS are solely responsible for ensuring their use of PropOS-generated documents complies with all current OneKey® MLS Rules and Procedures, LIBOR membership requirements, NAR Code of Ethics, and NYS DOS regulations. The current OneKey® Rules and Procedures Manual is available through Stratus under the Info Center.
